Terms of Service
About these terms and who we are
These Terms of Service ("Terms") form a binding agreement between you and MAXM BRANDS LLC ("Maxm Brands", "we", "us"), a limited liability company registered in the State of Wyoming, United States, with its registered office at 30 N Gould St Ste N, Sheridan, WY 82801, USA.
They govern your access to and use of the websites, storefronts, products and services we operate (together, the "Services"). By accessing the Services or placing an order, you agree to these Terms. If you do not agree, do not use the Services.
These Terms incorporate our Privacy Policy and our Shipping, Return and Refund Policy.
Merchant of record and billing descriptor
MAXM BRANDS LLC is the merchant of record for transactions across our storefronts. We are responsible for the sale, for collecting payment, and for customer support in relation to that sale.
Charges appear on card and bank statements as MAXM BRANDS followed by an identifier for the storefront concerned. The descriptor, the trading name of the storefront and our support email are shown on the order confirmation so that the charge is recognizable.
If a charge is not recognized, contact contact@maxmbrands.com before contacting your bank. We will identify the transaction and refund it where a refund is due.
Eligibility and accounts
You must be at least 18 years old, or the age of majority in your jurisdiction, and legally capable of entering into a binding contract. By placing an order you confirm that you meet these requirements and that the payment method used belongs to you or that you are authorized to use it.
Where a storefront offers accounts, you are responsible for keeping your credentials confidential and for all activity under your account. Notify us immediately at contact@maxmbrands.com if you suspect unauthorised access. We may suspend or close accounts used in breach of these Terms.
Orders, pricing and taxes
Product listings are an invitation to purchase, not a binding offer. A contract is formed only when we send a dispatch confirmation for the items concerned.
Prices are displayed in the currency shown at checkout, which for most storefronts is United States dollars (USD). The order total — product price, shipping and any applicable sales tax — is itemised for your review before you authorize payment. No charge is applied that was not shown at checkout.
We take reasonable care with pricing, but where an item is listed at a materially incorrect price due to an obvious error, we may cancel the order and refund it in full rather than fulfil it. We will tell you before doing so.
Sales tax is calculated at checkout where we have an obligation to collect it. For international orders, the recipient is responsible for customs duties and import taxes, which are not collected by us.
Payment authorization and processing
By completing a purchase you authorize us, and our payment processors, to charge the payment method you select for the full amount displayed at checkout.
Payment is processed by PCI-DSS Level 1 certified third-party processors over encrypted connections. We do not receive or store full card numbers or CVV codes on our systems.
We may decline or cancel an order, and refund any amount taken, where authorization fails, where our fraud or address-verification checks are not satisfied, where the item is unavailable, or where we reasonably suspect the transaction is fraudulent or unlawful.
Recurring payments
Where a storefront offers a subscription, the billing amount, frequency and renewal date are disclosed before purchase. Subscriptions renew automatically until canceled. You may cancel at any time and the subscription remains active until the end of the paid period. Cancellation takes effect at the next renewal and is not pro-rated unless required by law.
Delivery, returns and refunds
Processing times, delivery estimates, shipping charges, return windows and refund timing are set out in full in our Shipping, Return and Refund Policy, which forms part of these Terms.
In summary: orders are processed within 1–2 business days; standard domestic delivery takes 3–7 business days from dispatch; physical goods may be returned within 30 days of delivery in resalable condition; and approved refunds are issued to the original payment method within 3 business days of approval, reaching the customer's statement within a further 5–10 business days.
Disputes and chargebacks
If something is wrong with an order, contact contact@maxmbrands.com first. We acknowledge every inquiry within one business day and aim to resolve billing and delivery matters without the customer needing to involve their bank.
Initiating a chargeback without first contacting us delays resolution, because the funds are held by the card scheme while the dispute is investigated. Where a chargeback is raised, we will supply the card issuer with the order record, delivery confirmation, our published policies and the relevant correspondence.
We reserve the right to suspend service to accounts that raise chargebacks in bad faith — for example where goods were delivered and accepted, or where a refund had already been issued for the same order.
Acceptable use and prohibited activity
You agree not to use the Services to:
- Break any applicable law, regulation or sanctions program;
- Purchase goods for resale in breach of a storefront's stated terms, or to circumvent quantity limits;
- Submit false, stolen or unauthorised payment details, or impersonate another person;
- Launder money, finance terrorism, or disguise the origin of funds;
- Gain unauthorised access to our systems, probe or scan our infrastructure, or interfere with its normal operation;
- Scrape, republish or commercially exploit our content without written permission.
Sanctions and restricted jurisdictions
We do not sell to individuals or entities subject to sanctions administered by the United States Office of Foreign Assets Control (OFAC), or located in comprehensively sanctioned jurisdictions. By ordering you confirm that you are not such a person and are not acting on behalf of one.
Restricted products
Our storefronts do not offer, and we do not knowingly facilitate the sale of, products prohibited by our payment processors — including controlled substances, weapons and ammunition, counterfeit or infringing goods, prescription pharmaceuticals, adult content, gambling products, unregistered financial or investment products, or virtual currency.
Intellectual property
The Services, and all text, layout, graphics, logos and code within them, are owned by MAXM BRANDS LLC or its licensors and are protected by intellectual property law. Nothing in these Terms transfers any ownership to you.
Where a storefront sells digital goods, purchase grants a non-exclusive, non-transferable license to use the item for the purpose described on the product page. It does not grant a right to redistribute, resell or sublicense the item.
Warranties and disclaimers
We provide the Services with reasonable care and skill, and we will supply goods that match their description and are of satisfactory quality.
Beyond that, and to the fullest extent permitted by law, the Services are provided "as is" and "as available" without further warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Services will be uninterrupted, timely or error-free.
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any liability that cannot lawfully be excluded. Consumers retain all statutory rights that cannot be waived.
Limitation of liability
To the fullest extent permitted by law, MAXM BRANDS LLC is not liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data, goodwill or anticipated savings, arising out of or in connection with the Services, whether in contract, tort or otherwise.
Our total aggregate liability arising out of or relating to any order is limited to the amount you paid for that order.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so parts of this section may not apply to you.
Indemnity
You agree to indemnify and hold harmless MAXM BRANDS LLC, its officers, employees and agents from any claim, loss, liability or expense (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Services, or your violation of any law or third-party right.
Suspension, termination and changes
We may suspend or terminate access to the Services, or cancel an order, where these Terms are breached, where we are required to do so by law or by our payment processors, or where we reasonably suspect fraudulent or unlawful activity. Where an order is canceled and no goods have been supplied, we refund it in full.
We may modify the Services, or these Terms, to reflect changes in law, our business or our processors' requirements. The date at the top of this page shows when it was last revised. Material changes will be notified in advance where practicable. Orders are governed by the Terms in force at the time the order was placed.
Governing law and dispute resolution
These Terms, and any dispute arising out of or in connection with them, are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-law rules.
The parties submit to the exclusive jurisdiction of the state and federal courts located in the State of Wyoming, save that consumers may bring proceedings in the courts of their country of residence where mandatory local law so provides.
Before commencing proceedings, we ask that you contact contact@maxmbrands.com so that we can attempt to resolve the matter directly. Most disputes are resolved this way.
